Anti-Dilution

An anti-dilution provision is a clause in a securities agreement that adjusts the conversion price or the number of shares issued to protect investors from dilution when new equity is issued at a lower price.

Example: In a preferred stock financing, an anti-dilution provision might adjust the conversion price if a later round issues shares at a lower price, affecting how many common shares the preferred can convert into.
