Schedule 13D (Beneficial Ownership)
Schedule 13D is a U.S. Securities and Exchange Commission filing by any person or group that owns more than 5% of a class of a registered company's outstanding securities to disclose ownership details, sources of funds, and any plans or proposals relating to control of the issuer.
Example: If an investor accumulates more than 5% of the outstanding shares of a public company, they must file Schedule 13D with the SEC.
