Schedule 13G (Beneficial Ownership by Passive Investors)
Schedule 13G is the U.S. Securities and Exchange Commission (SEC) form used to disclose beneficial ownership of more than 5% of a registered class of equity securities by passive investors.
Example: For example, a large pension fund complex reporting more than 5% of a company's common stock under the passive-ownership criteria would file Schedule 13G with the SEC; the filed document would enumerate the number of shares, percent ownership, and voting power.
